Terms of Service

Welcome to THRIVE. These Terms of Service ("Terms") govern your use of the THRIVE mobile app, the THRIVE web experience, and the admin dashboard (collectively, the "Service"), operated by BLK Men in Tech Inc., a 501(c)(3) non-profit organization ("BMiT," "we," or "us"). By creating an account or using the Service, you agree to these Terms.

1. Who Can Use THRIVE

You must be at least 13 years old to use THRIVE. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. By using THRIVE you represent that you have the legal capacity to enter into this agreement and that you are not barred from using the Service under applicable law.

2. Your Account

  • You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
  • You agree to provide accurate information during sign-up and to keep your profile current.
  • Notify us promptly at [email protected] if you suspect unauthorized access to your account.

3. Community Conduct

THRIVE is a community platform and civility is essential. You agree not to use the Service to:

  • Harass, threaten, or discriminate against other members on the basis of race, ethnicity, gender, sexual orientation, religion, disability, or any other protected characteristic.
  • Post content that is unlawful, defamatory, obscene, sexually explicit, hateful, or that promotes violence.
  • Impersonate another person, misrepresent your affiliation, or create fake accounts.
  • Spam, solicit, scrape, or interfere with the normal operation of the Service.
  • Reverse-engineer, decompile, or attempt to extract source code from the Service beyond what is permitted by law.
  • Upload viruses, malware, or any code designed to disrupt the Service or other members' devices.

We may remove content and suspend or terminate accounts that violate these rules at our sole discretion.

4. Your Content

You retain ownership of the content you post (profile info, messages, posts, photos, etc.). By posting content on THRIVE, you grant BMiT a worldwide, royalty-free, non-exclusive license to host, display, reproduce, and distribute that content within the Service for the purpose of operating and improving it. This license ends when you delete your content, except to the extent required for backups, legal obligations, or to remove access across distributed systems.

You are solely responsible for your content and must have the rights to share anything you upload.

5. Organizations and White-Label Use

THRIVE is a multi-tenant platform. Each organization on THRIVE operates its own community space. If you are a member of an organization, that organization's admins can moderate content, manage membership, and enforce additional policies within their space. BMiT is not responsible for the actions or policies of individual organizations beyond what is required by these Terms.

6. Donations, Subscriptions, and Paid Features

  • Donations to non-profit organizations on THRIVE are processed by Zeffy at 0% platform fees. Donations may be tax-deductible where permitted by law — consult your tax advisor.
  • Subscriptions for non-profit orgs or other paid features are processed by Stripe Connect. You authorize the charge for the subscription period you select. Subscriptions renew automatically unless cancelled.
  • You can cancel a subscription at any time in Settings or from the payment processor's portal; cancellation takes effect at the end of the current billing period and is non-refundable for the current period except where required by law.
  • All taxes and fees imposed by your payment processor or jurisdiction are your responsibility.

7. Intellectual Property

The THRIVE name, logo, software, and original content are owned by BMiT and protected by intellectual property laws. We grant you a limited, non-transferable, non-exclusive, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms. Nothing in these Terms transfers any ownership or grants you a broader license.

8. Third-Party Services

THRIVE integrates with third-party services such as Supabase, Cloudflare, Zeffy, Stripe, AWS SES, Resend, Expo, and OpenRouter. Your use of those services may be subject to their own terms. We are not responsible for third-party services' availability, accuracy, or content.

9. Termination

You may delete your account at any time from Settings. We may suspend or terminate your access to THRIVE if you violate these Terms, if we are required to do so by law, or if continuing to provide the Service to you becomes commercially unfeasible. Upon termination, your right to use the Service ends immediately.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BMIT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BMIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. BMIT'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS.

12. Indemnification

You agree to defend, indemnify, and hold harmless BMiT and its affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Service, your content, or your violation of these Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules. Any disputes arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Fulton County, Georgia, and you consent to the personal jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email or an in-app notice) before they take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of them.
